Italy's Eni has entered into a binding agreement with Hilcorp to sell its interests in Nikaitchuq and Oooguruk oil and gas assets in Alaska to rationalize its upstream business and divest non-strategic interests. Houston-based Hilcorp is the largest oil and gas operator in the state. 

The deal is subject to regulatory approvals and other customary terms and conditions; its transaction price will be disclosed at closing time.
