Enterprise announced today that it has entered into a definitive agreement to acquire Piñon Midstream, a portfolio company of Black Bay Energy Capital, in a $950 million cash transaction. Piñon Midstream specializes in natural gas gathering and treating services within the core of the Delaware Basin, spanning New Mexico and Texas. The deal is expected to close in Q4 2024.

Q2 2024 marked a record for natural gas processing volumes at Enterprise, even though the second quarter is typically a seasonally weaker period. Additionally, Enterprise’s natural gas and NGL businesses complement each other, leading to record NGL pipeline and fractionation volumes during the quarter as well. The acquisition will further expand Enterprise’s natural gas footprint by establishing a strong presence on the eastern flank of the Delaware Basin. Piñon’s assets include approximately 50 miles of natural gas gathering and redelivery pipelines (pink and purple lines on map below), five compression stations (light blue, dark blue, light, medium and dark green cubes), a 270-MMcf/d hydrogen sulfide and carbon dioxide treating facility (dark blue pentagon) and two acid gas injection wells.

Furthermore, Piñon’s Dark Horse treating facility In Lea County, NM, is slated for expansion to 450 MMcf/d, with completion expected in H2 2025. Enterprise is also evaluating locations for a third injection well that would support up to 750 MMcf/d of total treating capacity.
