Enbridge Inc. has entered into an agreement to purchase three Dominion Inc. owned natural gas utilities. The three assets were sold to Enbridge for an aggregate purchase price of ~$9.4 billion, $4.6 billion of which was raised by issuance of both debt and equity. In aggregate, the assets serve ~3 million customers across Idaho, North Carolina, Ohio, Utah and Wyoming.
East Ohio Gas Co., purchased at $4.3 billion, serves ~1.2 million customers across 27 counties. Questar Gas., and its affiliate Wexpro Company, was sold for $3 billion. Questar Gas serves about 97% of households in the state of Utah and serves additional customers in southwestern Wyoming and Idaho. Public Service Company of North Carolina (PSCNC) was sold to Enbridge for $2.2 billion and serves 600,000 customers across 28 counties in NC. Combining Enbridge’s existing utility presence in Ontario and Quebec, following the deal’s estimated close next year, Enbridge would deliver about 9.3 bcf/d to natural gas customers making it the largest gas utility in North America by volume, and regulated utilities would account for just under 25% of the company’s overall business mix.
